Shareholder Disputes

Shareholder disputes are among the most common and contentious commercial disputes in Cyprus. The Companies Law, Cap. 113, provides several remedies for aggrieved shareholders:

• Section 202 petition: A shareholder can petition the court on the grounds that the company's affairs are being conducted in a manner oppressive to some members. The court has wide powers to make such order as it thinks fit, including ordering the purchase of shares by other shareholders or the company
• Winding-up petition: Where the court considers it just and equitable to wind up the company, typically in cases of complete deadlock between shareholders
• Derivative actions: Where a wrong has been done to the company and the directors refuse to take action, shareholders may in certain circumstances bring a claim on the company's behalf

Arbitration

Arbitration is a private, binding form of dispute resolution governed in Cyprus by the International Commercial Arbitration Law (Law 101/1987), which is based on the UNCITRAL Model Law. Key advantages include confidentiality, the ability to choose specialist arbitrators, and the enforceability of awards under the New York Convention across over 160 countries.

Mediation

Mediation is a voluntary, non-binding process in which a neutral mediator helps the parties reach a mutually acceptable settlement. Cyprus has enacted the Mediation in Civil Disputes Law (Law 159(I)/2012), and courts increasingly encourage parties to attempt mediation. Mediation can resolve disputes faster and more cost-effectively than litigation, while preserving commercial relationships.

Cross-Border Commercial Disputes

As a member of the EU, Cyprus benefits from the Brussels I Regulation (Recast) for recognition and enforcement of judgments across EU member states. For non-EU jurisdictions, Cyprus courts may recognise and enforce foreign judgments on the basis of reciprocity or under bilateral treaties. We regularly handle cross-border commercial disputes and advise on jurisdiction, applicable law, and enforcement strategies.

Interim and Protective Measures

In commercial disputes, preserving assets and evidence is often critical. We obtain urgent court orders including:

• Freezing injunctions: To prevent a party from moving or dissipating assets pending trial, including worldwide freezing orders where assets are held in multiple jurisdictions
• Disclosure orders: To compel a party to reveal the location and value of their assets
• Injunctions to restrain breach of restrictive covenants: Protecting businesses from former employees or partners who compete in breach of contractual restrictions
