A Cyprus International Trust is a trust governed by Law 69(I)/1992. It can support holding, succession, family-governance or charitable planning, but suitability, creditor effects, tax treatment, confidentiality and reporting depend on the deed, the people and assets involved, actual administration and all applicable Cyprus and foreign law.
A CIT may separate legal title from the settlor, but it does not guarantee protection from creditors, insolvency, divorce, enforcement or foreign-law claims. Section 3(2) addresses the specific creditor challenge based on an alleged intent to defraud creditors existing when the property was transferred; the creditor bears the burden of proof. Section 3(3) requires an action against the trustee under subsection (2) to be brought within two years of the transfer or disposition. That period is not a limitation period for every possible claim, does not categorically exclude later creditors and does not validate a sham, unlawful or improperly administered arrangement. The deed, timing, solvency, retained control, governing law, forum and cause of action require case-specific review.
Section 12 does not create a blanket tax exemption. Income and gains of a CIT from Cyprus and abroad are subject to the Cyprus taxes that apply where a beneficiary is Cyprus tax resident; for a non-resident beneficiary, Cyprus-source income and gains remain within Cyprus taxation. The result also depends on the nature and source of each item, residence and domicile, distributions, foreign law and treaty eligibility, so it must be analysed before the trust is funded or makes a distribution.
Section 11 protects trust information subject to the trust deed, court orders and disclosure required by law. This is confidentiality, not anonymity: beneficial-ownership information must be registered and kept current in CyTBOR when the statutory criteria apply, and access is available to the authorities and other persons specified by law. The trust deed is not made publicly searchable merely by a CyTBOR filing.
Section 5 of Law 69(I)/1992 sets no statutory maximum duration for a Cyprus International Trust, subject to the terms of the trust. The former 100-year limit should not be used for a trust governed by the current provision.
Under the current definition in Law 69(I)/1992, the settlor and the beneficiaries (other than a charitable institution) must not have been Cyprus residents during the calendar year immediately before the trust was created, and at least one trustee must remain resident in Cyprus throughout the trust. A beneficiary may later become Cyprus resident without invalidating the trust, although the tax treatment changes. The law does not require the initial trust property to be situated outside Cyprus.
In a discretionary trust, the trustee has full discretion over how and when to distribute income and capital among the beneficiaries. This is the most popular form of CIT as it offers the greatest flexibility for tax planning and asset protection. The settlor may provide a letter of wishes to guide (but not bind) the trustee.
In a fixed trust, each beneficiary has a defined and predetermined entitlement to the trust income and/or capital. The trustee has no discretion in this regard and must distribute according to the terms of the trust deed.
A purpose trust is established for a specific non-charitable purpose rather than for named beneficiaries. The 2012 amendments expressly permit purpose trusts, which are commonly used for holding structures, private trust companies, and specific commercial objectives.
A charitable trust is established for charitable purposes and may have an indefinite duration. Charitable trusts are subject to specific regulatory requirements and public benefit tests.
The trustee has a fiduciary duty to act in the best interests of the beneficiaries and in accordance with the trust deed. Key powers typically include:
The settlor may appoint a trust protector whose role is to supervise the trustee and ensure that the settlor’s wishes are respected. The protector’s powers, as defined in the trust deed, may include the power to approve or veto certain trustee decisions, to appoint or remove trustees, and to consent to amendments of the trust deed. The protector is not a trustee. Whether the protector owes fiduciary or other duties depends on the nature of the powers, the trust deed and applicable Cyprus law.
The CIT is governed by Cyprus law, and the Cyprus courts have jurisdiction over disputes. The International Trusts Law also recognises the choice of a foreign law to govern certain aspects of the trust, provided this does not conflict with mandatory provisions of Cyprus law. The law expressly provides that foreign forced heirship rules, community property claims, and similar foreign laws do not affect the validity of a CIT.
A qualifying express trust may require both registration with the trustee's competent supervisory authority and a separate CyTBOR beneficial-ownership filing. The trustee must keep adequate, accurate and current records, update reportable changes and comply with AML/CFT duties. Tax registration, returns, accounts and CRS/DAC or other information reporting depend on the trust's facts and applicable law; there is no universal exemption from accounts or reporting.
